Terms of Service & Conditions

1. Agreement to Terms

By accessing our website or contracting Involve Digital Technologies Private Limited (collectively referred to as "Involve Technologies", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please discontinue use immediately.

2. Scope of Services

We provide custom software engineering, dedicated staff augmentation (hire developers), enterprise software products, and AI workflow integration. Detailed technical specifications, delivery milestones, and payment terms are governed by individual Master Services Agreements (MSAs) or Statement of Work (SOW) contracts.

3. Intellectual Property Rights

Unless agreed otherwise in writing in a specific SOW:

• We transfer 100% intellectual property (IP) and source code ownership to you upon full payment of the agreed project fee.
• We retain ownership of pre-existing core libraries, modules, and generic algorithms integrated into the deliverables.
• You grant us a limited license to showcase completed projects in our portfolio unless a strict NDA forbids it.

4. Payment Terms & Late Payments

For turnkey projects, invoices are issued at agreed milestones. Dedicated developer pods are billed monthly in advance. Payments must be processed within 15 business days of the invoice date. Late payments may attract a monthly interest surcharge of 1.5% and result in temporary suspension of repository access or support services.

5. Warranty & Maintenance Period

Turnkey software deliveries include a 90-day post-launch technical warranty covering critical bugs and defects. Any design modifications, enhancements, or operating system upgrades requested after the warranty period require a separate maintenance SLA contract.

6. Limitation of Liability

To the maximum extent permitted by law, Involve Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

7. Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of India. Any legal dispute or claim arising under these terms shall be subject to the exclusive jurisdiction of the competent courts in Nashik, Maharashtra.
